These Terms of Use (“Terms”) govern access to and use of the Site, which is owned and operated by PureEHS Buyer LLC (“PureEHS,” “Company,” “we,” “us,” or “our”).
By accessing or using the Site, you acknowledge that you have read, understand, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.
THESE TERMS SET FORTH THE LEGALLY BINDING TERMS AND CONDITIONS THAT GOVERN YOUR USE OF THE SITE, INCLUDING WITHOUT LIMITATION, ANY ONLINE FEATURES, PORTALS, OR TOOLS WE MAKE AVAILABLE THROUGH THE SITE.
PLEASE BE AWARE THAT SECTION 17 OF THESE TERMS CONTAINS PROVISIONS GOVERNING HOW DISPUTES THAT YOU AND WE HAVE AGAINST EACH OTHER ARE RESOLVED, INCLUDING, WITHOUT LIMITATION, ANY DISPUTES THAT AROSE OR WERE ASSERTED BEFORE THE EFFECTIVE DATE OF YOUR ACCEPTANCE OF THESE TERMS. IN PARTICULAR: (1) YOU WILL ONLY BE PERMITTED TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF AGAINST US ON AN INDIVIDUAL BASIS, NOT AS A NAMED PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION OR PROCEEDING; AND (2) YOU ARE WAIVING YOUR RIGHT TO HAVE A JURY TRIAL.
(a)“End User,” “you,” and “your” mean any individual who accesses or uses the Site.
(b)“Service” or “Services” means the products and services PureEHS makes available through the Site to End Users, including without limitation access to portals, tools, and any associated functionality.
(c)“Site” refers to PureEHS’s website at https://pureehs.com/ and other related blogs, domains, and mobile sites maintained by PureEHS.
By accessing or using the Site, you represent that you have the legal capacity to enter into these Terms. If you are using the Site on behalf of an entity or organization, you further represent and warrant that you have the authority to bind such entity to these Terms, in which case “you” refers to that entity.
Subject to these Terms, PureEHS grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Site for your internal business or informational purposes.
You agree not to: (a) use the Site or any Services provided through the Site for any unlawful purpose or in violation of any applicable law or regulation; (b) use the Site or Services to harass, threaten, defraud, or otherwise harm any person; (c) attempt to gain unauthorized access to any portion of the Site, any accounts, computer systems, or networks connected to the Site, whether through hacking, password mining, or any other means; (d) introduce viruses, malware, or other harmful code into the Site or Services; (e) use any automated means (including bots, spiders, or scrapers) to access the Site or collect information from the Site, except for publicly available search engine indexing in accordance with standard robots.txt rules; (f) use the Site or Services in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the Site or that could damage, disable, overburden, or impair the functioning of the Site or Services; (g) license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Site or Services, whether in whole or in part, or any content displayed on the Site or through the Services; (h) modify, make derivative works of, disassemble, reverse compile or reverse engineer any part of the Site; (i) access the Site or use the Services to build a similar or competitive website, product, or service; (j) copy, reproduce, distribute, republish, download, display, post or transmit any part of the Site or the Services, except as expressly permitted in these Terms; (k) use the Site or Service in a manner that violates any third-party rights, including any privacy rights; and (l) use the Site or Services in a manner that causes PureEHS to violate any laws, regulation, rights, or obligations or restrictions imposed by any third party. PureEHS may, but is not obligated to, monitor use of the Site and Services, and may take any action it deems appropriate, including suspending or terminating access, if it believes these Terms have been violated.
Unauthorized access to restricted areas of the Site is prohibited. PureEHS reserves the right, in its sole discretion, to restrict, suspend, or terminate your access to the Site at any time for any violation of these Terms.
The Site and all content provided therein are for general informational and marketing purposes only.
PureEHS does not provide regulatory, environmental, health, safety, or compliance advice through the Site. Nothing on the Site constitutes or should be relied upon as professional advice, nor does it guarantee compliance with applicable laws, regulations, or industry standards. No content on the Site creates any duty, obligation, or advisory, fiduciary, or professional relationship between you and PureEHS.
Descriptions of PureEHS Services, including any features, functionality, or capabilities described on the Site, are provided for informational purposes only and are subject to change at any time without notice. PureEHS does not represent or warrant that such descriptions are complete, accurate, or current.
Features, availability, and performance of the Services may vary based on customer-specific configurations, geographic locations, and applicable agreements.
Any statements regarding future functionality, enhancements, or roadmaps for the Services are forward-looking in nature and are provided for illustrative purposes only. Such statements do not constitute binding commitments or obligations.
All Services offered by PureEHS are governed exclusively by separate written agreements executed between PureEHS and its customers (collectively, “Customer Agreements”).
These Terms apply solely to use of the Site and do not govern any Services except to the extent such use is not otherwise governed by a Customer Agreement. In the event of any inconsistency between these Terms or Site content and a Customer Agreement, the Customer Agreement shall control.
The Site may allow you to submit information, including contact details or requests for meetings (“User Submissions”). You represent and warrant that any User Submissions are accurate, complete, and provided lawfully, and that you have all necessary rights to provide such information. You agree not to submit confidential or sensitive information through the Site.
To the extent you provide suggestions, ideas, or feedback regarding the Site or PureEHS offerings (“Feedback”), you hereby grant PureEHS a worldwide, perpetual, irrevocable, royalty-free, and transferable right to use, modify, distribute, and incorporate such Feedback for any purpose, without obligation or compensation to you.
Your use of the Site is subject to the PureEHS Privacy Policy, available at https://www.pureehs.com which is incorporated herein by reference. The Privacy Policy describes how PureEHS collects, uses, and processes personal information, including information submitted through the Site.
The Site and all content and materials made available through it (collectively, “Content”) are owned by or licensed to PureEHS and are protected by applicable intellectual property laws. You agree that as between you and PureEHS, the Content is solely and exclusively owned by PureEHS and its licensors.
Except as expressly permitted by these Terms, you may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any Content without PureEHS’s prior written consent. All rights not expressly granted are reserved by PureEHS.
The Site may contain links to third-party websites or services that are not owned or controlled by PureEHS. Such links are provided for convenience only. PureEHS does not endorse and is not responsible for the content, policies, practices or conduct of any third-party websites or services.
YOU EXPRESSLY AGREE THAT YOUR USE OF THE SITE AND SERVICES IS AT YOUR SOLE RISK.
THE SITE AND THE SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS AVAILABLE” BASIS, AND PUREEHS (AND OUR SERVICE PROVIDERS AND LICENSORS) EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ALL WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT. WE (AND OUR SERVICE PROVIDERS AND LICENSORS) MAKE NO WARRANTY THAT THE SITE OR THE SERVICES WILL MEET YOUR REQUIREMENTS, CERTAIN RESULTS WILL BE OBTAINED, WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR WILL BE ACCURATE, RELIABLE, FREE OF VIRUSES, OR OTHER HARMFUL CODE, COMPLETE, LEGAL, OR SAFE. IF APPLICABLE LAW REQUIRES ANY WARRANTIES WITH RESPECT TO THE SITE, ALL SUCH WARRANTIES ARE LIMITED IN DURATION TO NINETY (90) DAYS FROM THE DATE OF FIRST USE.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
You acknowledge that the internet is not a fully secure medium and that PureEHS does not guarantee the security of information transmitted through the site.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PUREEHS (OR OUR SERVICE PROVIDERS AND LICENSORS) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS, LOST DATA, COSTS OF PROCUREMENT OF SUBSTITUTE SERVICES OR PRODUCTS, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF PUREEHS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ACCESS TO, AND USE OF, THE SITE IS AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR COMPUTER SYSTEM, OR LOSS OF DATA RESULTING THEREFROM.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THESE TERMS (FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION), WILL AT ALL TIMES BE LIMITED TO THE AMOUNT YOU PAID AND RETAINED BY PUREEHS FOR THE SPECIFIC SERVICE GIVING RISE TO YOUR CLAIM OR FIVE DOLLARS ($5.00), WHICHEVER IS GREATER. YOU AGREE THAT OUR SERVICE PROVIDERS AND LICENSORS WILL HAVE NO LIABILITY OF ANY KIND ARISING FROM OR RELATING TO THESE TERMS.
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.
You agree to defend, indemnify, and hold harmless PureEHS and its affiliates, and their respective officers, directors, employees, and agents, from and against any and all claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Site, your violation of these Terms, or your violation of applicable law or third-party rights.
PureEHS reserves the right, at any time and in its sole discretion, to modify, suspend, or discontinue the Site or any portion thereof, with or without notice. PureEHS shall not be liable for any modification, suspension, or discontinuance of the Site.
PureEHS may also take such actions as it reasonably deems necessary to comply with applicable law, enforce these Terms, or protect its rights, property, or safety and that of its users or others.
The Site is operated from the United States and may be accessed globally. PureEHS makes no representation that the Site is appropriate or available for use in all jurisdictions. You are responsible for compliance with all local laws applicable to your use of the Site. You further agree that the Site and the Services are governed by United States law as set forth in Section 17 of these Terms.
You agree to comply with all applicable export control, economic sanctions, and trade laws and regulations in connection with your use of the Site and Services.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to the conflict of laws provisions or principles thereof.
Any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located within New Castle County, Delaware, and you consent to the jurisdiction and venue of such courts.
(a)Waiver of Jury Trial. YOU AGREE, FOR YOURSELF AND ON BEHALF OF ANY ENTITY OR PERSON ON WHOSE BEHALF YOU ACCESS OR USE THE SITE OR SERVICES, TO WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO HAVE A TRIAL BY JURY IN ANY LEGAL ACTION, PROCEEDING, CAUSE OF ACTION, OR COUNTERCLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR ANY SERVICES.
(b)Waiver of Class or Other Non-Individualized Relief. You agree for yourself and on behalf of any company or other entity on whose behalf you are using the Site or Services, that (i) no legal proceeding shall be certified as a class action or proceed as a class action, or on a basis involving claims brought in a purported representative capacity
on behalf of the general public, other customers, or potential customers, or persons similarly situated, and (ii) no proceeding hereunder shall be consolidated with, or joined in any way with, any other proceeding. PureEHS agrees to the same limitations set forth in this section.
PureEHS reserves the right to modify these Terms at any time in its sole discretion. Updated Terms will be posted on the Site with a revised effective date. Your continued use of the Site following such changes constitutes your acceptance of the revised Terms.
Provisions that by their nature should survive termination or expiration of these Terms shall so survive, including without limitation provisions relating to intellectual property, disclaimers, limitations of liability, and indemnification.
These Terms constitute the entire agreement between you and PureEHS with respect to the Site and supersede all prior or contemporaneous understandings. If any provision is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The failure of PureEHS to enforce any provision shall not constitute a waiver of such provision.
